Sopiva.io Terms of Use

1.1 These General Terms of Use for Beta-Testing (including any document referenced herein as updated from time to time, the “Terms”) cover the use of the Sopiva service (the ”Service”) offered for beta-testing by Sopiva.io Oy (”Sopiva”) by you the user (the ”User” or ”You”) and it forms a binding agreement between You and Sopiva. By using the Service you approve the Terms and enter into an agreement with Sopiva. Sopiva and the User are referred to jointly as the Parties and each of the Parties are referred to as a Party.

1.2 The Terms (including any of the documents referenced in this document) may be changed from time to time and without separate consent from You. We ask you to pay attention to notices in the Service and on third party sites and services for notices of such changes. If You do not approve of a change, please refrain from using the Service following such change.

1.3 In the event that You or your employer have entered into a separate order form for the subscription of the Service, such Order Form shall form an integral part of the agreement for the use of the Service. In the event of any discrepancy between such order form and these Terms, the order form shall take precedent.

2.1 The Service is made available to You for beta-testing and Your use of the Service is at Your sole risk. The Service is still under development, is offered to you for testing purposes “as is” and “as available” from time to time, and Sopiva reserves the right to make changes to functionalities, content, software, interface, and user experience of the Service without notice at any time. As the Service continues to be under development, there may be a higher number of bugs, faults, and downtime in the Service.

2.2 Unless otherwise agreed in writing between You and Sopiva, the Service is offered to You for testing free of charge by Sopiva, but the use of the Service may require You to have a compatible device and a data-allowance to connect to the internet. Sopiva accepts no responsibility or liability for any third party service or equipment or any costs, damage or liability accrued from the use of these.

.1 Sopiva grants You a limited, non-exclusive, personal right to use the Service solely for Your personal purposes and solely as allowed under these Terms (as updated from time to time) and applicable laws.

3.2 By using the Service you represent that You are 16-years of age or older.

3.3 You agree not to:

Copy, reproduce, distribute, transmit, lease, sub-license, sell, assign, market, modify, translate, adapt, or make derivative works from, in whole or in part, the Service or any information or material that is part of or accessed through the Service, including but not limited to software, text, pictures, graphics, or sound (hereinafter “Content”), except to the extent copying of Content takes place on Your device as an automatic process expressly resulting from the use of the Service as allowed by the Service’s functionalities as intended by Sopiva for Your personal use from time to time;

Decompile, reverse engineer, or disassemble any part of the Service or Content (except to the extent provided by mandatory law and subject to You agreeing to inform Sopiva of such a need and your intention prior to exercising that right);

Remove or alter any notices of proprietary rights, as copyrights or trademarks contained in or related to the Service or the Content;

Interfere with the normal operation of the Service or abuse the Service in any way, such as by attempting to circumvent or disobey any functionalities, rules, policies, requirements, or similar of the Service or any service, content, or network accessible through Sopiva;

Collect or store, or process other than as enabled by the Service, any personal data of another user of the Service; and

Access the Service in any other way than through the interfaces provided by Sopiva.

3.4 The Right to use the Service granted to You is personal, and You have no right to transfer, sublicense, or provide the Service to a third party as a service. All rights to the Service and the Content remain the sole property of Sopiva and its licensors.

3.5 Sopiva retains the right, without prior notice, to suspend or terminate the access to the Service by the User.

3.6 The Service enables You to browse and filter job advertisements and other information made publicly available by employers, recruitment service providers and other third parties (“Third-Party Content”). The Service may also contain links that direct You to websites, applications or services operated by third parties (“Third-Party Services”). Third-Party Content is provided by third parties and is not created, published, verified or controlled by Sopiva. The inclusion, filtering or display of any Third-Party Content in the Service does not constitute an endorsement, representation or warranty by Sopiva concerning the relevant employer, recruitment opportunity, Third-Party Content or Third-Party Service. Sopiva does not guarantee that Third-Party Content is accurate, complete, current, lawful or available, or that any job advertisement remains open. You are responsible for verifying the accuracy and relevance of Third-Party Content and the identity and reliability of the relevant employer or other third party before acting on it. The filtering or display of Third-Party Content does not constitute a representation that You satisfy the requirements of a particular position or that You will be considered, interviewed, selected or employed. You remain solely responsible for deciding whether to apply for any position and for the information You provide to an employer or other third party.

4.1 Except for the rights You hereby grant to Sopiva, You retain all rights to all content that you upload to the Service (“Your Content”). You remain solely responsible for Your Content and hereby represent and warrant to Sopiva that you have the right to upload Your Content to the Service and grant the rights to Your Content under the Terms and that Your Content does not violate the rights of third parties, including without limitation third party intellectual property or privacy rights, and to the extent allowed under applicable law, You agree to indemnify and hold Sopiva harmless from any damages, costs and liability arising from any claim, investigation, or proceedings initiated by a third party or authority related to Your Content.

4.2 As consideration for Your right to use the Service, You hereby grant Sopiva a non-exclusive, worldwide, transferrable, sublicensable and fully-paid-up license under any intellectual property rights to any of Your Content for the purpose of Sopiva to provide the Service (as changed from time to time) to You and third parties and to further develop the Service and possible new services and products. You may at any time remove Your Content from the Service, but depending on the functionalities of the Service, Your Content may continue to be perpetually available to third parties, to which You hereby irrevocably consent.

4.3 Sopiva reserves the right to remove Your Content from the Service at any time and for any reason without prior notice or compensation to You. This may result in the permanent destruction of Your Content.

5.1 Sopiva encourages You to provide feedback and ideas to further develop the Service or our other services, business and activities (“Feedback”). If You provide us Feedback (in any form or through any channel), You agree that the Feedback can be used by Sopiva freely on an unrestricted basis and treated by Sopiva as non-confidential.

5.2 Please do not submit to Sopiva original and novel ideas for which You wish to retain the possibility to seek proprietary rights for Yourself. If You nevertheless choose to submit to us such Feedback, then regardless of any notice by You to the contrary, You agree that: (i) Sopiva has no obligation to treat the Feedback as confidential; (ii) Your Feedback and their contents will automatically become Sopiva’s property, without any compensation to You; (iii) You will not assert against Sopiva or its licensors any rights or interest in contract or under law, including intellectual property laws, and you will not claim any reward (financial or otherwise) in respect of any such Feedback; and (iv) Sopiva may use or redistribute the submissions and their contents for any purpose and in any way.

6.1 Sopiva, its subcontractors, and third parties process Your personal data in connection with Your use of the Service. How Sopiva processes Your personal data is further described in the Privacy Notice. Certain functionalities and Content in the Service are provided by third parties, and making use of such functionalities or Content will result in Your personal data being transferred or otherwise processed by third parties. How such third parties process Your personal data is further described in documentation made available by such third parties.

7.1 By using the Service You hereby irrevocably consent and agree, that Sopiva makes the Service and Content available “as is” and “as available” and makes no representation and gives no warranty, explicit or implied, and hereby explicitly disclaims any representation or warranty of merchantability, or that the Service or the Content would be error free, of any specific quality, available without interruptions, fit for any particular purpose, or that it would not infringe third party rights, including without limitation intellectual property rights of third parties. You understand and agree that any software is inherently insecure, and particularly software under development. Even if Sopiva has taken steps to ensure that that the Service is secure, this cannot be guaranteed and Sopiva accepts no liability for the security of the Service.

7.2 Sopiva is not a party to, and does not control, any application, communication, recruitment process, employment relationship or other interaction between You and an employer or other third party. Any application or other interaction initiated through a link provided in the Service takes place directly between You and the relevant third party and may be subject to that third party’s own terms, privacy notice and other policies.

7.3 Under no circumstances will Sopiva, its suppliers, and third parties that help make certain functionalities or Content available, and their respective owners, officers, and employees, be liable to You for any damage, costs, or loss, such as but not limited to, any costs incurred, loss of data, loss of business, profits, or opportunity or other pecuniary loss, or any direct, indirect, incidental, consequential, special, exemplary, or punitive damages or losses, whether based in contract, tort or otherwise, arising out of or in connection with use of, or inability to use the Service (and any of its functionalities, Content, or other applications), whether or not Sopiva has been advised of the possibility of such damages or loss. In any event, our liability under the Terms and for our Service and Content to you shall be limited to the maximum extent allowable under applicable law and no third parties shall have any liability based on the Terms.

8.1 The right to use the Service is personal to the User and the User may not transfer the agreement between Sopiva and the User without Sopiva’s prior written permission. Sopiva has the right to transfer the agreement between Sopiva and the User without the need to obtain permission from the User, by updating these Terms.

9.1 These Terms form a binding agreement between You and Sopiva from the earlier of the date you have indicate that you accept these Terms, or from the date You first used the Service. These Terms (as modified from time to time) continue in force until You or Sopiva terminate them. Your termination of these Terms will require You to immediately discontinue the use of the Service and any Content accessed through the Service. You acknowledge that the rights granted by You to Your Content and Feedback continue in force as set out in these Terms regardless of the termination of the agreement between You and Sopiva, as well as such terms and conditions that by their nature are intended to survive any termination or expiry of the Terms, including but not limited to Sections 3.3, 4, 5, 7, 8, 9, 10.

The Service is intended to be used under these Terms in Finland and is not offered by Sopiva to any other jurisdiction (even if the use may technically be possible also from outside of Finland).

The Terms and the agreement between Sopiva and the User are governed by the laws of Finland (without regard to applicable conflict of laws provisions).

Any disputes arising from the Terms, the agreement between the User and Sopiva, shall be settled by the District Court of Helsinki as the first instance (or the district court in Finland where the User is domiciled if the User is a consumer).

If the dispute relates to the processing of personal data of the User, the User may also contact the office of the Data Protection Ombudsman (www.tietosuoja.fi).
